Welcome to HappyyNest. The terms "we", "us" and "our" refer to HappyyNest. HappyyNest operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). HappyyNest is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service, our Privacy Policy, our Shipping Policy, and our Return & Refund Policy. If you do not agree to these Terms of Service or referenced policies, you should not use or access our Services.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least 18 years of age, or that you are accessing the Services with the consent of a parent or guardian. To use the Services, including browsing our store or purchasing products, you may be asked to provide certain information such as your name, email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, or assign your account to any other person.

SECTION 2 — OUR PRODUCTS

We have made every effort to represent our products accurately. However, colours and product appearance may differ from what appears on your screen due to your device settings and display configuration. We do not warrant that the appearance or quality of any products will meet your expectations or match what is depicted in our store exactly.

All product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product at any time and may limit quantities available to any person or region.

Product Safety Notice: Many HappyyNest hampers are designed for infants and young children and may include small items such as rattles, spinner toys, hair clips, stacking cups, or other small parts. Please always supervise children during use, follow any age recommendations listed on the product page, and keep small components away from children under the recommended age to avoid choking hazards. HappyyNest is not liable for injury or harm resulting from improper use, lack of supervision, or use outside the recommended age range.

SECTION 3 — ORDERS

When you place an order, you are making an offer to purchase. HappyyNest reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until HappyyNest confirms acceptance. We must receive and process your payment before your order is accepted.

Please review your order carefully before submitting, as HappyyNest may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, modify, or cancel an order, we will attempt to notify you by contacting the email address or phone number provided at the time of the order.

Cancellations: If you wish to cancel your order, please contact us at support@happyynest.com or WhatsApp us at +91-7289062542 as soon as possible. Orders can generally be cancelled free of charge before they have been dispatched. Once an order has been dispatched, it is subject to our Return & Refund Policy instead.

Your purchases are subject to return solely in accordance with our Return & Refund Policy.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be confirmed in your order confirmation. Product prices and any applicable taxes or charges will be clearly displayed before you complete your purchase. Standard shipping is currently free across serviceable pin codes in India unless otherwise stated.

You agree to provide current, complete, and accurate payment and account information for all purchases. You agree to promptly update your information, including email address and payment details, so that we can complete your transactions and contact you as needed.

SECTION 5 — SHIPPING AND DELIVERY

We ship pan India via our third-party logistics partners. Delivery timelines are estimates and may vary due to courier availability, weather, public holidays, strikes or other circumstances outside our reasonable control.

For Partial COD orders, a deposit is collected at checkout and the remaining balance is collected in cash at delivery; this deposit is non-refundable if the order is refused at delivery or returned undelivered, please see our Return & Refund Policy for full details. Partial COD availability is subject to pin code serviceability.

SECTION 6 — INTELLECTUAL PROPERTY

Our Services, including all trademarks, brand names, text, images, graphics, product descriptions, video, and audio, and the design, selection, and arrangement thereof, are owned by HappyyNest or its licensors and are protected by Indian and international intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent.

HappyyNest's name, logo, product names, designs, and slogans are trademarks of HappyyNest. You must not use such trademarks without prior written permission. All other names, logos, and trademarks on the Services belong to their respective owners.

SECTION 7 — THIRD-PARTY LINKS

The Services may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of any third-party websites. If you choose to access third-party websites, you do so at your own risk. We recommend reviewing the privacy policies and terms of any third-party sites you visit.

SECTION 8 — RELATIONSHIP WITH SHOPIFY

HappyyNest is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with HappyyNest. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and HappyyNest, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with HappyyNest.

SECTION 9 — PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read and agree to our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes certain personal information about your access to and use of the Services in order to provide and improve the Services.

SECTION 10 — COMMUNICATIONS CONSENT

By placing an order or otherwise providing your contact details, you consent to receive order-related communications, including order confirmations, dispatch and delivery updates, and requests for information needed to fulfil your order (such as photo collection for personalised items), via WhatsApp, SMS, email, or phone call.

We may also send you promotional communications about new hampers, offers, and content via these channels. You can opt out of promotional communications at any time by writing to support@happyynest.com or replying "STOP" to any promotional WhatsApp message. Opting out of promotional messages will not affect order-related communications necessary to fulfil your purchase.

SECTION 11 — FEEDBACK

If you submit any ideas, suggestions, feedback, or reviews, you grant us a perpetual, worldwide, royalty-free licence to use, reproduce, modify, publish, and distribute such feedback for any purpose, including to operate, improve, and promote the Services.

You represent that you own all rights to any feedback you submit and that your feedback will not violate any third-party rights or contain unlawful content. We are under no obligation to maintain your feedback in confidence, pay compensation for it, or respond to it.

SECTION 12 — ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct any errors and to change or update information at any time without prior notice, including after you have submitted your order.

You may access and use the Services for lawful purposes only. You may not use the Services for any unlawful or malicious purpose, to violate any central, state, or local laws and regulations applicable in India, to infringe upon intellectual property rights, to harass or harm any person, to transmit false or misleading information, or to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.

You agree not to upload viruses or malicious code, scrape or extract data from the Services using automated tools or AI agents, reproduce or resell any portion of the Services, collect personal information of others, or interfere with the security or operation of the Services.

SECTION 14 — AGENTS

14.1 This section applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of any person or entity without direct supervision.

14.2 No Agent may access, use, or interact with Services unless it identifies itself and operates in strict accordance with the requirements in section 14.4 below. No Agent may access the Services if we have requested that it refrain from doing so.

14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with Services.

14.4 Agents must: (i) identify that the request is from an Agent in all HTTP/HTTPS requests; (ii) not conceal or obfuscate that interactions are from an Agent; (iii) respond truthfully to any question seeking to determine if interactions are from a human or a computer; (iv) not circumvent any measure intended to block, limit, or control Agent access.

SECTION 15 — TERMINATION

We may terminate this agreement or your access to the Services at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. Sections relating to Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law will survive any termination.

SECTION 16 — DISCLAIMER OF WARRANTIES

The Services and all products offered through the Services are provided "as is" and "as available" without any representations, warranties, or conditions of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, timely, secure, or error-free.

SECTION 17 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, HappyyNest, our partners, directors, officers, employees, affiliates, agents, contractors, and service providers shall not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, loss of data, or replacement costs, arising from your use of the Services or any products purchased through the Services.

SECTION 18 — FORCE MAJEURE

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any event beyond our reasonable control, including but not limited to natural disasters, fire, flood, pandemic or public health emergency, government action, strikes or labour disputes, courier or logistics disruptions, internet or telecommunications failures, or civil unrest. Our obligations will be suspended for the duration of such event, and we will make reasonable efforts to notify affected customers and resume performance as soon as reasonably possible.

SECTION 19 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HappyyNest, Shopify, and our affiliates, partners, officers, directors, employees, agents, and service providers from any losses, damages, liabilities, or claims, including reasonable legal fees, arising out of your breach of these Terms of Service, your violation of any law or the rights of a third party, or your access to and use of the Services.

SECTION 20 — SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be severed from these Terms. Such determination shall not affect the validity or enforceability of any other remaining provisions.

SECTION 21 — WAIVER AND ENTIRE AGREEMENT

The failure of HappyyNest to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms of Service, together with any policies posted on this site, constitute the entire agreement between you and HappyyNest and governs your use of the Services, superseding any prior agreements between you and HappyyNest.

SECTION 22 — ASSIGNMENT

You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without our prior written consent. We may transfer or assign these Terms and our rights and obligations without notice to you.

SECTION 23 — GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.

It is your responsibility to check this page periodically for changes. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
